Terms of Service

Last updated: November 2, 2026

These Terms of Service ("Terms") are an agreement between you and Loopli, Inc. ("Loopli", "we", "us") and govern your use of Loopli (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it.

1. The Service

Loopli is a software service that helps businesses and agencies plan, create, publish and analyze social media content, manage comments and messages, and manage advertising on connected platforms, with the help of an AI agent. Features may change over time.

2. Accounts

  • You must provide accurate information and keep your login credentials secure.
  • You are responsible for activity under your account and for the people you invite to your organization.
  • You must be at least 18 years old and able to form a binding contract.

3. Connected platforms

When you connect third-party accounts such as Facebook Pages, Instagram accounts or Meta ad accounts, you authorize Loopli to access and act on them within the permissions you grant. Your use of those platforms remains subject to their own terms and policies, including Meta's Terms, Community Standards and Advertising Standards. The same applies to other services you connect, such as Google Drive. We are not responsible for the availability or decisions of third-party platforms, such as content removal or ad rejection.

If you connect your own Meta developer app and credentials, you remain the developer of record for that app, and Loopli acts as your service provider, processing data from it only to provide the Service to you and following your instructions.

4. Approvals, autopilot and AI output

The AI agent proposes content, replies, website changes and ad changes. By default nothing is published, sent or spent without approval from a person on your team. A brand manager can turn on autopilot for publishing posts, sending replies, publishing the website, or activating ads and changing their budgets; for those actions the agent and your routines act without a separate approval, within your instructions and settings, and you are responsible for that choice. You are responsible for reviewing AI-generated output before approving it, and for what goes out on autopilot. AI output can be inaccurate or unsuitable, and you are responsible for the content you publish and the ads you run, including their compliance with law and platform policies. Where required, Loopli labels content generated with AI. When the agent researches the web, check facts and claims before you publish them.

5. Your content

You keep all rights to the content you upload or create with the Service. You grant us a limited license to host, process, transmit and display it only as needed to provide the Service to you. You confirm you have the rights needed for the content you upload and publish. We do not use your content or data from your connected accounts to train AI models.

6. Acceptable use

You agree not to use the Service to:

  • Post or send spam, deceptive, unlawful, infringing, hateful or harmful content.
  • Violate the terms or policies of any connected platform.
  • Access accounts or data you are not authorized to access.
  • Interfere with, reverse engineer or overload the Service.

7. Subscriptions and payment

Paid plans are billed in advance on a recurring basis through our payment processor until cancelled. You can cancel at any time; access continues until the end of the paid period. Fees are non-refundable except where required by law. Usage limits depend on your plan. If payment fails, your account may become read-only, and scheduled publications and ad changes will pause until it is resolved. Advertising spend on Meta is billed by Meta directly to your ad account and is not part of your Loopli subscription.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or if required to comply with law or platform requirements. On termination we will delete your data as described in our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any specific results, such as reach, engagement or ad performance.

10. Limitation of liability

To the extent permitted by law, Loopli will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim.

11. Changes

We may update these Terms. If we make material changes, we will notify you in advance. Continuing to use the Service after changes take effect means you accept them.

12. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules, except where the law of your country of residence requires otherwise for consumers.
